Terms & Conditions of Sale

1. Agreement
These Terms & Conditions govern the purchase of rebar-securing clips, installation tools, and related products (“Products”) sold by Encore Hartco (“Seller”) to the purchaser (“Buyer”). By submitting an order, Buyer accepts these Terms in full.

2. Orders & Acceptance
All orders are subject to acceptance by Seller. Seller reserves the right to reject or cancel any order at its discretion.

3. Prices & Taxes
Prices are subject to change without notice. Applicable sales tax, duties, and shipping charges will be added to the order total. Buyer is responsible for all taxes not collected at checkout.

4. Shipping & Risk of Loss
Products are shipped FOB Origin. Title and risk of loss transfer to Buyer upon delivery to the carrier. Seller is not liable for delays caused by carriers or events beyond its reasonable control.

5. Returns
Products may be returned only with prior written authorization from Seller and must be unused, in original packaging, and returned within 30 days of delivery. Custom or special-order Products are not returnable. A restocking fee may apply.

6. Limited Warranty
Seller warrants that Products will be free from defects in materials and workmanship under normal use for 12 months from delivery. This warranty excludes normal wear, misuse, alteration, or improper installation. Buyer’s exclusive remedy is repair, replacement, or refund, at Seller’s option.

7. Limitation of Liability
Seller shall not be liable for incidental, indirect, or consequential damages, including but not limited to lost profits, delays, or project costs. Maximum liability shall not exceed the purchase price of the Product giving rise to the claim.

8. Safety & Compliance
Buyer is responsible for proper selection, installation, and use of Products, and for ensuring compliance with all applicable laws, building codes, and safety standards.

9. Governing Law & Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. Any disputes shall be resolved in the state or federal courts located in Cook County, Illinois.
